Terms of Service

These Terms of Service (hereinafter referred to as “these Terms”) set forth the conditions for using the online shop (hereinafter referred to as “the Service”) provided by MSPC Co., Ltd. (hereinafter referred to as “the Company”) on this website. All registered users (hereinafter referred to as “Users”) shall use the Service in accordance with these Terms.

Article 1 (Application)

  • These Terms shall apply to all relationships between Users and the Company in relation to the use of the Service.

  • The Company may establish individual rules or guidelines (hereinafter referred to as “Individual Provisions”) in addition to these Terms. Regardless of their name, such provisions shall form part of these Terms.

  • If any provision of these Terms conflicts with the Individual Provisions, the Individual Provisions shall prevail unless otherwise specified.

Article 2 (User Registration)

  • A user registration is completed when a person who wishes to register agrees to these Terms, applies in the manner specified by the Company, and the Company approves the application.

  • The Company may reject a registration request if it determines that the applicant falls under any of the following:

    • If false information was submitted during registration.

    • If the applicant has previously violated these Terms.

    • If the Company determines the registration is otherwise inappropriate.

Article 3 (User ID and Password Management)

  • Users are responsible for managing their user IDs and passwords.

  • Users may not transfer or share their credentials with third parties. The Company considers any login using the correct ID and password to be made by the registered user.

  • The Company shall not be liable for damages resulting from the use of credentials by third parties, unless caused by willful misconduct or gross negligence.

Article 4 (Sales Contract)

  • A sales contract is formed when the User applies for a purchase and the Company sends a notice of acceptance. Ownership transfers upon handover to the shipping carrier.

  • The Company may cancel the contract without prior notice if:

    • The User violates these Terms.

    • The delivery fails due to unknown address or long absence.

    • Trust between the User and the Company is deemed broken.

  • Payment methods, shipping methods, cancellations, and returns are subject to separate Company policies.

Article 5 (Intellectual Property Rights) All content provided through the Service, including product images, is the property of the Company or legitimate rights holders. Unauthorized reproduction, alteration, or secondary use is prohibited.

Article 6 (Prohibited Conduct) Users shall not engage in the following:

  • Acts violating laws or public order

  • Criminal acts

  • Infringing intellectual property rights

  • Interfering with Company systems or networks

  • Commercial use of information from the Service

  • Disrupting operations

  • Unauthorized access or attempts thereof

  • Collecting personal information of other Users

  • Impersonation

  • Providing benefits to antisocial forces

  • Any other acts deemed inappropriate by the Company

Article 7 (Suspension of the Service) The Company may suspend the Service without notice for:

  • System maintenance

  • Force majeure events

  • System or communication failures

  • Other situations where service provision is deemed difficult The Company shall not be liable for damages arising from suspension.

Article 8 (Usage Restrictions and Deregistration) The Company may restrict or delete a User's account without notice if:

  • Any provision of these Terms is violated

  • False information is found in the registration

  • Credit card becomes unusable

  • Payment obligations are unmet

  • No response from the User for a certain period

  • Prolonged inactivity

  • The Company deems continued use inappropriate The Company bears no responsibility for resulting damages.

Article 9 (Withdrawal) Users may withdraw from the Service through a prescribed procedure.

Article 10 (Disclaimer and Warranty)

  • The Company does not guarantee that the Service is free from defects (including safety, reliability, accuracy, completeness, suitability, bugs, legal rights issues, etc.).

  • The Company shall not be liable for damages arising from use of the Service, except in cases where the Consumer Contract Act applies. Even in such cases, liability is limited to damages caused by negligence (excluding gross negligence), and excludes special or indirect damages.

  • The Company shall not be involved or liable for any disputes between Users or with third parties.

Article 11 (Changes to the Service) The Company may change or terminate the Service at any time without prior notice. The Company shall not be liable for any resulting damages.

Article 12 (Amendment of Terms) The Company may revise these Terms without notice. Continued use of the Service constitutes agreement to the revised Terms.

Article 13 (Handling of Personal Information) The Company shall handle personal information obtained through the Service appropriately in accordance with its Privacy Policy.

Article 14 (Notices and Communication) Communication between Users and the Company shall be conducted in a method specified by the Company. Unless notified otherwise, communications to the registered contact will be considered effective upon dispatch.

Article 15 (Prohibition of Transfer of Rights and Obligations) Users may not transfer or offer as collateral their contractual status or rights and obligations under these Terms without prior written consent from the Company.

Article 16 (Governing Law and Jurisdiction)

  • These Terms shall be governed by Japanese law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

  • Any disputes shall be subject to the exclusive jurisdiction of the court having jurisdiction over the Company’s head office location.
